1. Acceptance of Terms
By purchasing any template (digital product) from the Viola Plans website, the Customer agrees to be bound by these Terms and Conditions.
2. Products and Compatibility
Viola Plans sells digital templates designed for use with Microsoft Excel (including files with VBA code) and Google Sheets (including files with Apps Script).
The Customer is solely responsible for ensuring they purchase the correct file format (Excel or Google Sheets) and possess the necessary software (e.g., Microsoft Excel, an active Google Account) to use the templates. Viola Plans is not liable for incompatibility issues arising from the Customer’s software or system.
3. Pricing and Payment
All prices are clearly stated in US Dollar (USD). Prices are subject to change without notice. Full payment is required before digital files are made accessible.
4. Digital Delivery
Upon successful payment confirmation, the Customer is granted immediate access to the digital files via direct download links and/or a confirmation email.
The download link is generally accessible without time or download limits. However, Viola Plans reserves the right to impose limits or revoke access for security purposes, especially in cases of suspected unauthorized sharing.
For Google Sheets templates, the product delivered is a unique access link requiring the Customer to make a copy to their own Google Drive account.
5. License Grant and Strict Resale Prohibition
- Ownership: Viola Plans retains all ownership, copyright, and intellectual property rights to the templates, including all VBA code and Google Apps Scripts.
- Limited License: The Customer is granted a non-exclusive, non-transferable license to use the template for their personal or internal commercial use only.
- Strict Prohibition: The Customer is STRICTLY PROHIBITED from:
- Reselling, redistributing, or sub-licensing the template in its original or modified form.
- Sharing the template file, the direct download link, or a newly generated copy link (for Google Sheets) publicly or with third parties.
- Any unauthorized distribution or resale constitutes a material breach of this agreement and may result in legal action.
6. No Refunds Policy
Due to the irreversible nature of digital products, all sales are final and non-refundable once the file has been accessed or downloaded.
Refunds will only be considered if the file is proven to be corrupted or permanently unusable after the Viola Plans support team has failed to resolve the issue through reasonable troubleshooting.
7. Limitation of Liability
The templates are provided “as is” without any guarantees or warranties. Viola Plans shall not be liable for any direct, indirect, special, or consequential damages, including loss of data or revenue, resulting from the use or inability to use the templates.
8. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which the Seller operates. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in the Seller’s place of business.
